Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and TicketGays ("TicketGays," "we," "us," or "our"), the operator of the website located at ticketgays.com (the "Platform"). By accessing, browsing, registering for, or using the Platform in any way, including posting a listing, submitting an ISO (In Search Of) request, or viewing listings, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated herein by reference. If you are using the Platform on behalf of an organization or entity, you represent and warrant that you have the authority to bind that organization to these Terms, and your agreement to these Terms will be treated as the agreement of that organization.

TicketGays is an online bulletin board and listing platform that allows users to post tickets for sale and post requests for tickets to events. TicketGays acts solely as a passive intermediary and listing service. We do not: • Issue, validate, authenticate, or guarantee the legitimacy or transferability of any ticket listed on the Platform • Facilitate, process, or oversee any financial transactions between buyers and sellers • Take possession of, transfer, or deliver any tickets • Verify the identity, legitimacy, or trustworthiness of any user • Guarantee the accuracy or completeness of any listing or ISO post • Act as an agent, broker, or fiduciary for any user All transactions, negotiations, and ticket transfers occur entirely off-platform between individual users. TicketGays is not a party to any transaction between users.

You must be at least 18 years of age to use this Platform. By using the Platform, you represent and warrant that you are 18 years of age or older, that you have the legal capacity to enter into a binding agreement, and that your use of the Platform does not violate any applicable laws or regulations in your jurisdiction.

The Platform uses third-party Single Sign-On ("SSO") authentication via Google or Apple. By using these authentication services, you agree to their respective terms of service and privacy policies. TicketGays is not responsible for the availability, security, or functionality of these third-party authentication services. You are solely responsible for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account. TicketGays shall not be liable for any loss or damage arising from your failure to maintain the security of your account.

5.1 Ticket-for-Sale Listing Fee Users who wish to post a ticket for sale on the Platform are required to pay a non-refundable listing fee of $2.00 USD at the time of posting. This fee is processed through Stripe, a third-party payment processor. By submitting payment, you agree to Stripe's Terms of Service and Privacy Policy. TicketGays does not store your payment information. 5.2 ISO Listings ISO (In Search Of) listings, in which users post requests for tickets, are currently provided free of charge. TicketGays reserves the right to introduce fees for ISO listings at any time with reasonable notice. 5.3 No Refunds All listing fees are non-refundable under any circumstances, including but not limited to: the listing not resulting in a sale, the event being cancelled, the ticket being found to be fraudulent, or your account being suspended or terminated for violation of these Terms. 5.4 Fee Changes TicketGays reserves the right to change the listing fee at any time. Any changes will apply to new listings posted after the effective date of the change.

6.1 Seller Responsibilities By posting a ticket for sale, you represent and warrant that: • You are the legitimate owner of or have the legal right to sell the ticket(s) listed • All information provided in your listing is accurate, complete, and not misleading • The ticket(s) are valid, have not been cancelled, voided, or previously transferred • The ticket(s) are not counterfeit, stolen, or otherwise fraudulently obtained • You will promptly honor any sale you agree to with a buyer • You will accurately represent the face value and any restrictions associated with the ticket(s) 6.2 Buyer Responsibilities By contacting a seller or responding to a listing, you acknowledge that: • You are conducting due diligence and taking full responsibility for any transaction you enter into • TicketGays does not verify the authenticity of any ticket listed on the Platform • You assume all risk associated with purchasing tickets from third-party sellers 6.3 Prohibited Conduct You agree not to post fraudulent, misleading, or inaccurate listings; list tickets you do not own; attempt to scam or defraud other users; use the Platform for any unlawful purpose; harass, threaten, or intimidate other users; or engage in price gouging in violation of applicable law.

TICKETGAYS IS NOT RESPONSIBLE FOR AND EXPRESSLY DISCLAIMS ALL LIABILITY ARISING FROM ANY TRANSACTION OR INTERACTION BETWEEN USERS OF THE PLATFORM, INCLUDING BUT NOT LIMITED TO: fraudulent, counterfeit, invalid, or stolen tickets; non-delivery of tickets after payment; disputes between buyers and sellers; financial losses incurred by any user; or personal injury arising from attendance at or inability to attend an event. All transactions between users are entirely at the user's own risk. TicketGays strongly encourages users to exercise caution, use payment methods with buyer protection where possible, and meet in safe public locations when exchanging tickets in person.

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. TICKETGAYS MAKES NO WARRANTY REGARDING THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY LISTING, USER, OR CONTENT ON THE PLATFORM.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, TICKETGAYS AND ITS OPERATORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM. IN NO EVENT SHALL TICKETGAYS'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU PAID TO TICKETGAYS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $10.00, WHICHEVER IS GREATER.

You agree to indemnify, defend, and hold harmless TicketGays and its operators, affiliates, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Platform; (b) any listing, ISO post, or content you submit to the Platform; (c) your violation of these Terms; (d) your violation of any applicable law or regulation; or (e) any transaction you enter into with another user of the Platform.

By posting a listing or ISO request on the Platform, you grant TicketGays a non-exclusive, royalty-free, worldwide license to display, reproduce, and distribute that content on the Platform for the purposes of operating the service. You retain ownership of your content, subject to this license. TicketGays reserves the right, in its sole discretion, to remove any listing, ISO post, or content that violates these Terms, appears fraudulent or misleading, or is otherwise objectionable, at any time and without prior notice or liability.

The Platform integrates with third-party services including Stripe (payment processing), Google (authentication), and Apple (authentication). Your use of these services is governed by their respective terms and privacy policies. TicketGays is not responsible for the availability, security, or conduct of any third-party service.

TicketGays collects and uses personal information in accordance with our Privacy Policy. By using the Platform, you consent to the collection and use of your information as described therein. We do not sell your personal information to third parties.

The TicketGays name, logo, and all related branding, design elements, and content on the Platform are the property of TicketGays and are protected by applicable intellectual property laws. You may not use, reproduce, or distribute any TicketGays intellectual property without prior written permission.

TicketGays reserves the right to suspend or terminate your access to the Platform at any time, for any reason, including but not limited to violation of these Terms. Upon termination, your right to use the Platform ceases immediately. No listing fees will be refunded upon termination.

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms shall be resolved exclusively in the state or federal courts located in Los Angeles County, California. TO THE EXTENT PERMITTED BY LAW, YOU WAIVE ANY RIGHT TO A JURY TRIAL IN CONNECTION WITH ANY DISPUTE ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM.

TicketGays reserves the right to modify these Terms at any time. When we make changes, we will update the Effective Date at the top of this document. Your continued use of the Platform after any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and TicketGays with respect to your use of the Platform and supersede all prior or contemporaneous communications and proposals between you and TicketGays.
